The agreement

These Terms of Use (the “Terms”) form a binding agreement between you and Soledger (“Soledger”, “we”, “us”) governing your use of the Soledger application for iOS (the “App”) and this website (the “Site”). By downloading, installing, or using the App, you agree to these Terms. If you do not agree, please do not use the App.

The App is licensed, not sold, to you. The App Store's standard End User License Agreement (the “Apple Licensed Application EULA”) also applies to your use of the App, and these Terms supplement it. Where these Terms conflict with Apple's EULA, the more user-protective provision controls.

Your license

Subject to your compliance with these Terms, Soledger grants you a non-exclusive, non-transferable, revocable license to install and use the App on any Apple-branded device that you own or control, for your personal, non-commercial use, as permitted by the App Store Terms of Service.

Purchases & subscriptions

Soledger is free to download. Certain premium features require an in-app purchase or subscription (“Premium”). All purchases are made through the Apple App Store and are subject to Apple's App Store Terms. Prices are displayed before purchase and may vary by region.

To cancel a subscription or manage billing, use the standard iOS subscription management screen: Settings → [Your Name] → Subscriptions. Refund requests must be submitted to Apple via reportaproblem.apple.com.

Premium features are available for the duration of an active subscription. If your subscription lapses, you retain full access to all free features and your existing data; premium features are inaccessible until you resubscribe.

Acceptable use

You agree not to:

  • Reverse engineer, decompile, or attempt to derive the source code of the App, except as expressly permitted by applicable law.
  • Use the App to violate any law or third-party rights.
  • Remove or alter any copyright, trademark, or proprietary notice in the App.
  • Use the App in a way that could damage, disable, overburden, or impair it.

Intellectual property

The App, the Site, the Soledger name, the Tread mark, and all related logos, designs, copy, source code, and other materials are owned by Soledger and/or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You retain ownership of the data you create or input into the App — your shoes, prices, run assignments, photos, and notes. Soledger claims no ownership over any of it.

No medical advice

Soledger tracks shoe mileage and basic workout metadata. It is not a medical device, a training plan, a coach, or a substitute for professional advice. Information presented in the App — including any guidance about when to replace shoes — is informational only.

Replace your shoes when your body and your judgment tell you to. If you experience pain or injury, consult a qualified healthcare professional. Soledger is not responsible for any health outcomes related to your use of the App.

Privacy

Your use of the App is also governed by our Privacy Policy. Soledger does not collect, transmit, or sell personal data. HealthKit data is read only with your explicit permission and is never transmitted to Soledger's servers. Shoe profiles, purchase dates, and workout logs you create in the App may sync to your personal iCloud account under Apple's privacy terms.

Warranty disclaimer

The App and Site are provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the App will be uninterrupted, error-free, or that any data presented in the App (including imported HealthKit data, mileage calculations, or cost-per-mile values) will be accurate or complete.

Limitation of liability

To the maximum extent permitted by law, Soledger and its licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising out of or related to your use of the App or the Site. Soledger's total aggregate liability for any claim arising out of or related to the App or these Terms will not exceed the amount you paid for the App.

Some jurisdictions do not allow the limitation or exclusion of certain damages, so some of the above may not apply to you. Nothing in these Terms limits any liability that cannot be limited by law.

Termination

You may stop using the App at any time by deleting it from your device. We may suspend or terminate your license if you materially violate these Terms. Sections that by their nature should survive termination (intellectual property, warranty disclaimer, limitation of liability, governing law) will survive.

Changes

We may update these Terms from time to time. We'll update the date at the top of this page and, when changes are material, surface a notice inside the App. Your continued use of the App after a change indicates your acceptance of the updated Terms.

Disputes & arbitration

Informal resolution first. Before filing any claim, you agree to contact us at soledger@pragmaticts.com and give us 30 days to attempt informal resolution.

Binding arbitration. If we cannot resolve the dispute informally, you and Soledger agree that any dispute, claim, or controversy arising out of or relating to these Terms or the App — except as stated below — will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court.

Fees. You pay the AAA's consumer filing fee (currently $200 for most claims). Soledger pays all remaining arbitration costs, including the arbitrator's fees.

Location. Arbitration will be conducted remotely by video or telephone, or in person in Texas, at your election.

Exceptions. Either party may bring an individual claim in small claims court. Either party may seek emergency injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property pending arbitration.

Class action waiver. You and Soledger each waive any right to bring or participate in any class action, collective action, or representative proceeding. Disputes must be brought on an individual basis only. If this waiver is found unenforceable for a particular claim, that claim must proceed in court rather than arbitration; all other claims remain subject to arbitration.

Opt-out. You may opt out of this arbitration agreement within 30 days of first downloading the App by emailing soledger@pragmaticts.com with the subject “Arbitration Opt-Out.” Opting out does not affect any other rights under these Terms.

Severability. If any part of this section is unenforceable, the remaining parts continue to apply, except that if the class action waiver is unenforceable in a class or representative proceeding, the entire arbitration agreement is void for that claim only.

Governing law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of laws principles. Disputes not subject to arbitration will be resolved in the courts of the State of Texas, except where applicable consumer law gives you the right to bring proceedings in your country of residence.
